Job Purpose
To ensure legal compliance, manage company secretarial responsibilities, and support corporate governance by handling legal documentation, regulatory filings, board meeting coordination, and liaison with regulatory authorities.
Legal
Key Responsibilities:
• Draft, review, and negotiate contracts, agreements, and other legal documents (e.g., NDAs, MOUs, vendor/customer contracts).
• Provide legal advice on corporate, commercial, and labor law issues.
• Ensure compliance with applicable laws, rules, and regulations.
• Manage legal risks by identifying issues and proposing appropriate mitigations.
• Liaise with external legal counsel for litigation or advisory matters.
• Maintain legal records, case files, and document archives.
Secretarial
• Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
• Draft minutes of meetings and maintain statutory books (registers of members, directors, etc.).
• Ensure timely filing of statutory returns with the relevant regulatory authorities (e.g., Registrar of Companies).
• Handle incorporation of companies, amendments to the Memorandum & Articles of Association, and other secretarial changes.
• Coordinate with stakeholders for obtaining approvals, licenses, and compliance certifications.
• Maintain up-to-date knowledge of secretarial best practices and regulatory changes.
Qualifications
• Bachelor’s Degree in Law, Corporate Law, or equivalent (LLB or LLM preferred).
• Company Secretary (CS) qualification is highly desirable.
• Additional certifications in corporate governance or compliance are a plus.
Experience
• 3–7 years of relevant experience in legal and/or company secretarial roles.
• Prior experience in a corporate legal department or law firm preferred.
• Experience in dealing with regulatory bodies and corporate governance.
Key Skills
