We are seeking highly organised and dependable Corporate Governance Specialist / Corporate Secretary (Freelance) to join our expert network. An expert in corporate governance within the jurisdiction of your expertise, you will support leadership teams and boards in establishing strong governance frameworks, regulatory compliance and ethical oversight practices that align with long-term business goals. This role is ideal for independent corporate governance advisors, legal advisors, governance professionals or corporate secretaries looking to partner innovative startups, scale-ups and growth stage businesses.
Your responsibilities may include:
- Advising on corporate governance frameworks, board structure, and regulatory best practices
- Supporting company secretarial duties, including preparation of board materials, minutes, and resolutions
- Ensuring compliance with corporate laws, regulations, and listing requirements (where applicable)
- Developing governance policies, charters, codes of conduct, and compliance protocols
- Assisting with risk management strategies and internal control assessments
- Advising on shareholder communications, corporate disclosures, and annual reporting requirements
- Supporting board evaluations, director onboarding, and corporate ethics initiatives
- Collaborating with legal, finance, and executive leadership to embed governance into broader company strategy
Required qualities may include:
- Proven experience in corporate governance, corporate law, or company secretarial functions
- Strong knowledge of governance codes, compliance frameworks, and regulatory reporting requirements
- Experience working with boards, executive teams, or investor-backed businesses
- Ability to operate independently across multiple clients or in a fractional/consulting capacity
- Attention to detail and a structured approach to documentation, policies, and procedures
- Excellent communication and stakeholder management skills—professional, clear, and trusted
- Governance or legal certifications (e.g., ICSA, CGI, LLM) are a strong plus
